1. Acceptance of Terms

By accessing or using Chato Pro ("the Service"), operated by KariaTech OÜ, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Chato Pro is a Software-as-a-Service (SaaS) platform that allows users to manage WhatsApp sessions, automate responses using AI-powered chatbots, and manage customer communications. The Service integrates with WhatsApp Web and uses third-party AI services.

3. User Obligations and Acceptable Use

You agree to:

  • Comply with all applicable laws and regulations, including GDPR and local data protection laws
  • Comply with WhatsApp's Terms of Service and Business Policy
  • Use the Service only for lawful business purposes
  • Not use the Service for spam, harassment, or unsolicited communications
  • Not attempt to reverse engineer, decompile, or hack the Service
  • Not share your account credentials with unauthorized parties
  • Maintain the security of your account and WhatsApp sessions

4. Third-Party Dependencies

The Service relies on third-party platforms including WhatsApp, OpenAI, Firebase, and payment processors. We are not responsible for disruptions caused by these third parties. Your use of WhatsApp through our Service is subject to WhatsApp's own Terms of Service.

5. Account Registration and Security

You must provide accurate information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized access.

6. Subscription and Payment

The Service is provided on a subscription basis. Pricing is displayed on our website. Payments are processed through Paddle, our payment processor. By subscribing, you authorize recurring charges to your payment method. You may cancel your subscription at any time through your account settings.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHATO PRO AND ITS OPERATORS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions, errors, or data loss
  • Actions or inactions of third-party services (WhatsApp, OpenAI, etc.)
  • Account suspension or termination by WhatsApp
  • Chatbot responses or AI-generated content
  • Unauthorized access to your account or data

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED, SECURE, OR ERROR-FREE SERVICE.

9. Service Availability

We strive for high availability but do not guarantee 100% uptime. We may temporarily suspend the Service for maintenance, updates, or security reasons without prior notice. We are not liable for any damages resulting from service unavailability.

10. Data Backup and Loss

While we implement reasonable backup procedures, you are responsible for maintaining your own backups of critical data. We are not liable for data loss due to system failures, user error, or third-party issues.

11. Intellectual Property

All intellectual property rights in the Service, including software, design, and content, belong to Chato Pro or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

12. Termination

We may suspend or terminate your account at any time for violations of these Terms, suspicious activity, or at our sole discretion. You may terminate your account at any time by canceling your subscription. Upon termination, your access to the Service and data will be removed.

13. Indemnification

You agree to indemnify and hold harmless Chato Pro, its operators, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the Service after changes constitutes acceptance of the new Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of Estonia and the European Union. Any disputes shall be resolved in the courts of Estonia.
